1. Acceptance of Terms
By accessing, registering, or using the UVARD platform (the "Platform"), including the website, mobile application, APIs, or related services, you ("User," "Learner," or "Instructor") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.
If you do not agree, you must not use UVARD.
2. Definitions
- "Platform": The UVARD website, mobile apps, services, APIs, and all related offerings.
- "User": Any individual or entity accessing the Platform.
- "Learner": A user who enrolls in, purchases, or accesses courses.
- "Instructor": A user who creates, uploads, or distributes educational content.
- "Content": All courses, videos, lectures, notes, graphics, software, or materials uploaded or made available on UVARD.
- "Services": All functions provided by UVARD, including course hosting, distribution, payments, and support.
3. Eligibility
- Users must be at least 18 years old, or of the legal age of majority in their jurisdiction.
- Users under 18 may only use the Platform with the consent and supervision of a parent/guardian.
- By using UVARD, you confirm that you have the legal capacity to enter into this agreement.
4. Educational Purpose & Disclaimer
All content on UVARD is provided strictly for educational and informational purposes.
- UVARD does not provide professional, medical, legal, financial, or technical advice.
- Any reliance on educational content is at the sole discretion and risk of the Learner.
- UVARD, its affiliates, employees, and instructors are not liable for damages, injuries, losses, or claims resulting from:
- Application or misapplication of skills or knowledge gained.
- Errors, omissions, or inaccuracies in content.
- Actions taken or not taken based on educational material.
5. User Responsibilities
As a User, you agree to:
- Use the Platform only for lawful educational purposes.
- Provide accurate registration information and maintain the confidentiality of account credentials.
- Respect intellectual property rights of UVARD and instructors.
- Not engage in plagiarism, content theft, or unauthorized redistribution.
- Not harass, defraud, threaten, or harm other users.
- Not attempt to hack, bypass, or disrupt the Platform's security.
6. Instructor Responsibilities
Instructors are responsible for:
- Uploading only original or properly licensed content.
- Ensuring that content is accurate, appropriate, and suitable for educational purposes.
- Complying with intellectual property, copyright, and consumer protection laws.
- Accepting that UVARD may review, remove, or modify content that violates policies.
- Granting UVARD a worldwide, non-exclusive, royalty-free license to host, market, and distribute their content.
7. Intellectual Property
- UVARD retains all rights, titles, and interests in the Platform and brand.
- Instructors retain ownership of their content but grant UVARD the rights necessary to operate the service.
- Users may not copy, reproduce, modify, or distribute UVARD content without permission.
- Unauthorized use of trademarks, service marks, or trade dress is strictly prohibited.
8. Payments, Pricing & Refunds
- Learners agree to pay the listed fees for courses and services.
- Payments are securely processed through third-party providers (Stripe, Onafriq, Airtel Money, PayPal).
- Pricing may vary due to promotions, region, or currency conversion.
- Refunds are governed by UVARD's Refund Policy.
- Instructors may have earnings withheld if fraud, abuse, or violations are detected.
9. Prohibited Conduct
Users may not:
- Upload unlawful, defamatory, obscene, or harmful content.
- Use the Platform to promote illegal or fraudulent activities.
- Attempt to reverse-engineer, hack, or tamper with the Platform.
- Create multiple accounts to abuse promotions, discounts, or payout systems.
10. Account Suspension & Termination
- UVARD reserves the right to suspend, restrict, or permanently terminate accounts that violate these Terms.
- Termination may result in loss of access to courses, earnings, and other services.
- Users may request voluntary account deletion, subject to data retention laws.
11. Educational Disclaimer (Expanded)
- UVARD courses are not a substitute for accredited programs, certifications, or licenses.
- UVARD does not guarantee employment, career advancement, or skill mastery.
- Learners assume full responsibility for verifying course quality and applicability to their personal goals.
- UVARD disclaims all warranties, express or implied, including fitness for a particular purpose.
12. Limitation of Liability
To the fullest extent permitted by law:
- UVARD, its affiliates, officers, employees, and instructors shall not be liable for:
- Direct, indirect, incidental, consequential, or punitive damages.
- Lost income, data, goodwill, or business opportunities.
- Injuries or damages caused by applying knowledge gained from the Platform.
- Total liability in any case shall not exceed the amount paid for the course in question.
13. Indemnification
You agree to indemnify, defend, and hold harmless UVARD, its officers, instructors, and affiliates against claims, damages, losses, or expenses arising from:
- Your content or misuse of the Platform.
- Your violation of these Terms.
- Any third-party claims related to your conduct.
14. Dispute Resolution
- Informal Resolution: Users must attempt good-faith resolution with UVARD before filing claims.
- Arbitration: Unresolved disputes shall be settled through binding arbitration in Alberta, Canada.
- Class Action Waiver: Users waive rights to participate in class actions or consolidated proceedings.
15. Governing Law
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.
16. Modifications
- UVARD may revise these Terms at any time.
- Updates will be posted with a revised "Effective Date."
- Continued use of the Platform constitutes acceptance of changes.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full effect.
18. Entire Agreement
These Terms, together with the Privacy Policy and other legal documents (Instructor Agreement, Refund Policy, DMCA Policy), constitute the entire agreement between Users and UVARD.
